1. Acceptance of Terms

By accessing or using ShipDeck (the “Service”), available at app.shipdeck.dev, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a legally binding agreement between you (“User”, “you”, or “your”) and ShipDeck (“we”, “us”, or “our”). By creating an account, accessing the platform, or using any features of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use this Service.

2. Description of Service

ShipDeck is an AI-powered freelance project management platform designed for freelancers, independent developers, and small teams. The Service provides:

• AI Agent Runner — Execute Claude Code agents that analyze codebases, generate product requirement documents (PRDs), identify bugs, and produce actionable reports.
• Project Management — Track features, bugs, milestones, budgets, and timelines across multiple projects.
• Web Terminal — Secure browser-based SSH terminal access to connected servers.
• WhatsApp Integration — AI-powered client communication via the AIDeck messaging integration.
• Code Analysis — Automated architecture reviews, security audits, and performance analysis.
• Document Generation — AI-generated project documentation, analysis reports, and client-ready deliverables.
• Backup and Recovery — Automated server snapshots with restore capabilities.

The specific features available to you may vary depending on your subscription plan.

3. User Accounts and Responsibilities

To access most features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information to keep it accurate and current.
• Maintain the security and confidentiality of your account credentials.
• Immediately notify us of any unauthorized use of your account at [email protected].
• Not share your account credentials with any third party.
• Not create multiple accounts to abuse promotions or circumvent restrictions.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Upload, transmit, or distribute any malicious code, viruses, or other harmful technology.
• Attempt to gain unauthorized access to the Service, other user accounts, or connected systems.
• Use the AI agents or analysis features to generate illegal, harmful, or objectionable content.
• Reverse engineer, decompile, or disassemble the Service.
• Use the Service to build a competing product or service.
• Interfere with or disrupt the integrity or performance of the Service.
• Use the Service for cryptocurrency mining, unauthorized data scraping, or resource-intensive activities unrelated to the platform.

5. Intellectual Property

Your Content. You retain all ownership rights in content, code, data, documents, and materials you upload to or create using the Service. You grant us a limited, non-exclusive license to process, store, and display Your Content solely for the purpose of providing the Service to you.

AI-Generated Output. Content generated by AI agents on your behalf is considered part of Your Content. You own the output generated for your projects.

Our Platform. The Service, including its original content, features, functionality, design, and technology, is the exclusive property of ShipDeck and its licensors.

6. Third-Party Integrations

The Service integrates with third-party services. By using these integrations, you agree to comply with the respective terms of each provider:

• GitHub — Repository access for code analysis and project management.
• Google — Authentication and basic profile access for account login.
• Anthropic (Claude) — AI language model powering code analysis and document generation.
• WhatsApp (Meta) — Messaging integration for client communication via AIDeck.

We are not responsible for the availability, accuracy, or practices of third-party services.

7. Google API Services User Data Policy

ShipDeck’s use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.

Specifically, ShipDeck:

• Only requests access to the Google user data necessary for features you choose to use (authentication and basic profile information including name, email address, and profile picture).
• Will not use Google user data for serving advertisements.
• Will not allow humans to read your Google user data unless we have your affirmative agreement, it is necessary for security purposes, or to comply with applicable law.
• Will not transfer Google user data to third parties unless necessary to provide or improve the Service, or to comply with applicable law.

8. Data and Privacy

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy.

• Code Data. Source code accessed during AI analysis is processed in ephemeral, isolated containers and is not permanently stored after analysis is complete.
• Encryption. All data in transit is encrypted using TLS 1.2 or higher. Data at rest, including backups, is encrypted.
• Data Portability. You may request an export of your data at any time.
• Data Deletion. Upon account termination, your data will be deleted within 30 days, except where retention is required by law.

9. Payment and Billing

Certain features require a paid subscription. By subscribing, you agree to:

• Pay all fees associated with your chosen plan.
• Provide accurate billing information.
• Subscriptions automatically renew unless you cancel before renewal.
• Trial fees are non-refundable once the trial period has been activated.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

10. Service Availability and Limitations

We strive to maintain high availability, but do not guarantee uninterrupted or error-free operation. The Service is provided “as is” and “as available.”

• We may perform scheduled maintenance that temporarily affects availability.
• Usage limits are determined by your subscription plan and subject to fair use policies.
• We reserve the right to modify, suspend, or discontinue any feature at any time.

11. AI-Generated Content Disclaimer

AI-generated content (analysis reports, PRDs, code suggestions) is provided as assistance and should be reviewed by a qualified human before being relied upon for critical decisions.

• We do not guarantee the accuracy, completeness, or suitability of AI-generated output.
• You are solely responsible for reviewing and validating all AI outputs before use.
• AI-generated code suggestions should be tested for security vulnerabilities before deployment.
• We shall not be liable for any damages resulting from reliance on AI-generated content.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: ShipDeck shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from your use of the Service.

Our total aggregate liability shall not exceed the amount you have paid us in the twelve (12) months preceding the event, or one hundred dollars ($100 USD), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless ShipDeck from any claims, liabilities, damages, losses, costs, and expenses arising out of your use of the Service, violation of these Terms, or violation of any third-party rights.

14. Termination

By You. You may terminate your account at any time by contacting us at [email protected].

By Us. We may suspend or terminate your account at our sole discretion for any reason, including breach of these Terms.

Effect of Termination. Your account enters a read-only state for 30 days, during which you may request an export of your data. After 30 days, data is permanently deleted.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the jurisdiction in which ShipDeck operates. Disputes shall first be attempted to be resolved through good-faith negotiation. Any claim must be filed within one (1) year after the cause of action arose.
